These Terms and Conditions ("Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and PENSGRI ("Company," "we," "our," or "us") governing your access to and use of the website located at pensgri.com ("Site"). By accessing or using the Site in any manner, you represent that you have read, understood, and agree to be bound by this Agreement in its entirety. If you do not agree, you must immediately discontinue use of the Site.
1. Permitted Use and Restrictions. The Site is made available solely for informational purposes relating to PENSGRI's advisory and creative strategy services. You agree not to: (a) copy, reproduce, republish, upload, post, transmit, or distribute any Site content without the Company's prior written authorization; (b) use the Site or its content in any manner that infringes on the intellectual property rights of the Company or any third party; (c) engage in any data mining, scraping, or automated collection of Site content; (d) use the Site for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation; or (e) attempt to gain unauthorized access to any portion of the Site or its underlying systems or infrastructure.
2. Intellectual Property Rights. All content appearing on or accessible through the Site, including without limitation text, editorial content, graphic design elements, photography, branding, trade names, service marks, the PENSGRI name and mark, and the proprietary methodologies known as Rest Ethic™ and Beauty Herbalist® (collectively, "Company IP"), are the exclusive intellectual property of PENSGRI and/or its principals and are protected under applicable United States copyright, trademark, trade dress, and other intellectual property laws. No license, express or implied, is granted to you in or to any Company IP by virtue of your access to the Site. Any unauthorized use, reproduction, modification, distribution, or commercial exploitation of Company IP is strictly prohibited and may subject you to civil and criminal liability.
3. No Professional, Legal, or Financial Advice. The content published on this Site is provided for general informational and marketing purposes only. Nothing on this Site constitutes, or should be construed as, legal, financial, accounting, investment, or other professional advice. No attorney-client, fiduciary, or advisory relationship is created between you and the Company by your use of this Site or submission of any inquiry. Engagement of PENSGRI's services is conditioned upon execution of a separate written engagement agreement signed by authorized representatives of both parties.
4. No Client Relationship Created by Inquiry Submission. The submission of information through the Site's contact form or any other inquiry mechanism does not establish, and shall not be construed to establish, a client, advisory, or contractual relationship between you and PENSGRI. No representation, commitment, or obligation on the part of the Company arises from the receipt or acknowledgment of any inquiry. A formal, written engagement agreement executed by an authorized officer of PENSGRI is required before any professional services may commence.
5. Disclaimer of Warranties. THE SITE AND ALL CONTENT THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
6. Limitation of Liability. Such links are provided solely for convenience and do not constitute an endorsement by the Company of any third-party content, product, or service. The Company assumes no responsibility or liability for the accuracy, legality, or content of any third-party site or for any loss or damage arising from your use of or reliance on any third-party service.
9. Modifications to This Agreement. The Company reserves the right to amend, modify, or replace this Agreement at any time in its sole discretion. Amendments become effective upon posting of the revised Agreement to the Site. Your continued access to or use of the Site following any such modification constitutes your acceptance of the revised Agreement.
10. Governing Law and Dispute Resolution. This Agreement shall be governed by and construed in accordance with the laws of the District of Columbia, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement or your use of the Site that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration administered in Washington, D.C., unless both parties mutually agree otherwise in writing.
